Chapter A. General Description
1.General Description
Description of the conditions in which Bonaserv S.R.L. as owner allows the utilization of the portal www.WoodAgency.eu, biz . This is a wood business portal for companies, which are in the domain of wood marketing, for the products and for all the connective activities, which interact, with this domain. The site offers his services to a group of clients, called in the following text as Members. The Members can be Companies (all categories) or persons (Jobs and in the future Forum and affiliation) which act on the wood market in attribute of salesman, buyers or intermediaries, exporter, importer, of services and connectivity’s activities and those how promote their products, services or brand image respecting terms & conditions and steps necessary becoming a member on this portal. Any collaboration: offer, request or proposal, which the members will introduce in the special fields, created in this porpoise (Offer), will be called registration.
2. Any contribution you bring to this site is welcomed, with the condition that the sent materials shall not have a defamatory character.
3. Any condition that is considered to be illegal or invalid will be changed or eliminated.
4. These terms and conditions are governed by European & Romanian law and the parties submit to the exclusive jurisdiction of the European & Romanian courts.
5. Parts obligations.
5.a Member obligation:
The using of information from this site without WoodAgency.eu agreement it’s forbidden.
It’s forbidden to add details on the section Offers, of any kind of data which would guide to identification of the one how made the registration (address, telephone, e-mail address, web address). The members are bound to complete identification data, just in those fields in which this is demanded. Other wise, WoodAgency.eu reserves the right to delete that registration.
The members are not allowed to post register (in Offer section) written with “caps”.
It’s forbidden the publishing and the advertising of the competitor sites. Those members will lose their rights immediately without warning.
The responsibility for the validity of any registry comes to the members. Also, the members are responsible, civil and criminally, of their own actions and of the consequences they may have, after publicizing the registry and informative materials on the site.
The members are bound to complete all fields where this is demanded in explicit way. Not completing the registry fields will be taken such as, and the registration will be presented on the portal just with the given information.
The members are bounded to update their contact data any time this suffers changes.
The members are bounded to post registry just in the Offer section in English without repeating them or very close as content in less then 30 days.
The members are bounded to keep confidential their access name and password, assuming their whole responsibility upon the utilization mode of those.
5.b. WoodAgency.eu bounds
Will solve the members denounce in the shortest time, regarding non-observance of the bounds in the agreement.
Will assure the members possibility of introducing registry in the Offer section in conformity with the type of membership chosen. The addition of registry will be realized by each member, anytime, in the valid period of the agreement or in the limit number of registry.
Will assure the members the possibility of choosing their user name and password so that they can access the site and will be bounded to keep the confidentiality of the data.
Will assure help for completing the fields, for surfing the site and for payment prosecution to the members who request this.
Any problem that may stop the collaboration between WoodAgency.eu and his members must be transmitted to be solved in shortest time on a peace full way.
6. Service access
The services that WoodAgency.eu offers to their members are differential having as base four types of accounts: Free, Trial, Premium and Premium+. This are presented in Members Benefits.
The access on the site as a member and the utilization of the services WoodAgency.eu offers, are the subjects of this “Terms and Conditions”.
The portal is opened for all the visitors, but the access to information is allowed just to the members on different levels.
For the maintenance of a high quality level of the commercial information, we reserve the right to decline the access and eventually to retreat the status of member for all those who have been identified to send persistently and/or intentionally erroneous commercial information or about whom pertinent objections where made repeatedly or for those who give their user name and password to a third person which doesn’t have the status of member.
7. Confidentiality
WoodAgency.eu will keep any information that the members will send to the portal with maximal care and will use it just for marketing purpose. WoodAgency.eu is not responsible for any damage that a member suffers as a result of confidentiality regarding the usage of this site. Regarding those who will give the user name and the password to a third person who doesn’t have the status of a member, the owner www.WoodAgency.eu, S.C. Bonaserv S.R.L will approach all legal right’s to recover the losses made by unauthorized access, against the person who gave the access as for the person who used it.
8. Responsibility
WoodAgency.eu does not respond for the damages that members can do one to each other during the utilization time of this services trough erroneous information, intentional bed actions, the inadequate using of the portal services but engages to the members of the portal that any information known about a company, leads, products will be brought up for the knowing of the portal members and will stop or interrupt it’s publication.
WoodAgency.eu can not offer any guarantee that the service will fulfill 100% your demands; the service will be purveyed uninterrupted, at time, sure or without errors; any program error will be corrected; the service and server that we offer the members are not infected and have no viruses or other components that could produce damage. The whole civil and legal responsibility for the information published and/or transmitted through the internet by the members, as for their consequence that can emerge as a result of this activities, belongs to the members, entirely.
WoodAgency.eu can not assume responsibility for the impossibility of conforming the bound provided in this terms, as a result of any cause that is outside it’s power, including but unrestricting at fortuitous events, unfavorable meteorological conditions, action or inaction of the government, of others networks or other competent authorities for which WoodAgency.eu is not responsible.
The major force defends WoodAgency.eu of responsibility.
9. Account validity
The collaboration is valid for the period of time mentioned in the section “Accounts” and begins from the moment of payment confirmation in the bank account or from the moment in which it is proved trough the copy of the instrument payment sent trough the fax. If the members want to extent their account validity, they have to announce within 15 days before the ending of the validity. For upgrading the subscription, the subscriber can send a request in this way on e-mail or fax and will get the pro-forma invoice and the contract. After the payment the account becomes valid in the terms mentioned before.
Chapter B. Accounts
10. “Free Member”, “Trial Member”, “Premium Lucky Member”, Premium Member”, “Premium Partner Member”
To give everyone a possibility to test this portal, the condition is to sign up as a Free Member for any other category, WoodAgency.eu will provide a variable period of gratuitousness and for this period you are marked as a “Trial Member”. The period varies depending the marketing interest and politics of www.WoodAgency.eu. At the end of this period you will be contacted of one of our representative from the marketing service of BONASERV S.R.L for the approach to become a “Premium Member” trough the payment of the subscription/ fee annual which on base of the Agreement of Service Administration, and depending the condition and interests of Bonaserv S.R.L., can be divided in more paying entrancements. “Premium Lucky Member” is granted monthly, optional and free with the exclusive initiative of the Agency as a result of some Lotteries, Contests or just of the appreciation of the webmaster for an exceptional activity of one of the Members. “Premium Partner Member” as an upgrade of “Premium Member” which had an annual average activity on the portal and paid minimum advertising of 2000 €. Any member who surpasses the amount mentioned above before 12 month of activity becomes automatically a “Premium Partner Member”.
11. Document attachment just for “Premium Partner Member”
In case you consider that is necessary or that the images and properties of a product are not enough for defying exactly your offer, you can attach documents for each product in different formats (for ex: utilization manual in .doc or .pdf, technical parameters in .xls format, technical schemes in .dwg or other formats), which could be downloaded or visualized of those who are interested.
12. Images attachment
All WoodAgency.eu members can attach images (pictures) of all the products, so that all those who are interested can have an idea, as clear as it can be, about the product aspect. The number of the pictures that can be attached depends on the subscription type.
13. Product categories and services
The database www.WoodAgency.eu for products and services are based on a tree category type structure so that it could offer the shortest possible way to the desired products and services searched in the easiest way possible, or to define as clear as possible the activity types. They will be called in the content of the site WoodAgency.eu as: “Sections”, “Categories”, “Domains” on the context commission.
14. Your products and services on the first page?
The condition for you as a member is to add at least an image, a title, a product description or one of your services from the administration, after login, which would appear in the first page starting with the next day and it will be available until the next 5 entries.
15. Company description available in each lead
The Company description is an actualized information made by the company which makes the lead, this thing being compulsory for any lead type. An exception are just the leads from the “Jobs” (see art.6).
16. Own activity domain
The activity domain (product category/services, type) which corresponds of the company activity. In administration deleting / addition from own domain is leading to defining the activity domains which a company has (a category of products and services in which a company can present their offer). As long as the activity domains are defined at concrete levels (as example: “garden furniture” and not “furniture, others”) the search results for the products of this category will appear affront.
17. Company data presentation, logos and company description
In company and products searching, or when somebody visits your company details depending the account he possesses, it will be shown: company name, address, city, zip code, state, unique code, registration mark, telephone, fax, company description, activity domain, main activity domain, subsidiary, contact person and others that could appear.
18. Image and documents automatic process
Any image attached will be proceeded by our server, or by the webmaster after case, resized in more variants so that it should fit in different hypo stasis, in which your products or services will be shown. Also the image must not be renamed, because our server doesn’t take into consideration and in no circumstances, the name which the image or the document has, will be showed on the site.
19. Products and services
Practically means anything a company can offer. Every product or service that your company offers should fit in one of the categories (domain activity) existent on www.WoodAgency.eu. If none of them refers with what you want to offer, use the categories in the “Various Activities” section.
20. Products proprieties
Each product category and services can have some proprieties, introduce or search products and services in one category, so you will have the possibility to specify very clearly your offer.
21. Visiting rapport
In client administration we can offer reports regarding the visits on your products and services on the portal WoodAgency.eu or other types of reports which in some measure, could help you to make an image about preferences, demands, concretizations.
22. Export tools
In the administration “Premium” and Premium Partner Member” will have the possibility depending from some tools – pages in function of some parameters (product categories or services and/or their properties) they could export offer’s or formed known situations, so that they could be printed, to be sent on e-mail (even without the technical possibility to connect to your e-mail) or for any other reason.
23. Transport/Logistics, Jobs offer
“Free Members”, “Trial Members”, “Premium, Premium Lucky, Premium Partner” can be players on this categories with full rights.
24. Forum (in future)
Activity with access for all registered members on the portal. All the posts will be validated from www.WoodAgency.eu operators. The moderators will be empowered by WoodAgency.eu. Premium Partner Members can administrate modules within the forum in agreement established conditions.
25. Copyright
All the rights, including copyright and the right upon the database, regarding the site www.WoodAgency.eu and it’s content are kept by www.WoodAgency.eu or in other words are used by www.WoodAgency.eu in conformity with the actual lows. Trough accessing the web page www.WoodAgency.eu you assumes the whole responsibility that you will use in the content just for your personal usage and not for commercializing purpose. You can download for personal usage some information and print any part of the portal content. Excluding those mentioned before, you assume the obligation not to copy any support, distribute, transmit, retell, spray, change, store in any medium (inclusive on other site) or public any part of www.WoodAgency.eu, without the preliminary agreement of S.C. Bonaserv S.R.L.
26. Final dispositions
WoodAgency.eu can change unilateral the present condition, between some time intervals, without preventing the beneficiary’s of the services. Those changes will be transmitted to the members, by displaying them, or by newsletter. Also WoodAgency.eu reserves the right to supplement as number or to improve the services of any subscription without the preliminary agreement of the clients. The modifications made are to be accepted by the members once this where communicated. If the users do not agree the terms and utilization (usage) conditions they have to stop immediately to use the services offered by WoodAgency.eu.
Also S.C. Bonaserv S.R.L. will address to the Justice Court, without exception, against those who access or are trying to access unauthorized the database. In this case, the act and the attempt will be punished in front of the law according to the legislation in use.
